Direct Energy Reduce Your Use with Google Nest thermostats program

These terms and conditions apply to participants in the Direct Energy Reduce Your Use with Google Nest thermostats program and are between you and Direct Energy, LP ("Direct Energy"). The Direct Energy Reduce Your Use with Google Nest thermostats program encourages and enables you to make changes to your electricity usage when Texas electricity system demand is high to reduce the stress on the system.

Reduce Your Use with Google Nest Eligibility Requirements:

Must be a Direct Energy account holder at the time of any Direct Energy Reduce Your Use event.
Must have an operable Google Nest thermostat controlling an HVAC system at the account service address.
Must have an active electricity Smart Meter at the account service address.
Must have a Nest thermostat connected to an active Wi-Fi network at the account service address.
Nest thermostat installed and registered online with Google LLC ("Google").
You agree to the Terms & Conditions set forth in this agreement.

Direct Energy Terms & Conditions:

As a participant in the Direct Energy Reduce Your Use with Google Nest thermostats program, you acknowledge and agree that your receipt and use of the Nest thermostat and your participation in the Reduce Your Use with Google Nest thermostats program are subject to each of the following Terms & Conditions.

You agree to participate in electricity conservation or reduction in response to Reduce Your Use with Google Nest thermostats program events or for other reasons as determined by Direct Energy and allow Google to remotely adjust your Nest thermostat during your participation in the Reduce Your Use with Google Nest thermostats program.

You always have the ability to opt-out of any particular event by appropriately adjusting the thermostat settings

Direct Energy may offer incentives for participating in the Reduce Your Use with Google Nest thermostats program ("Rewards"). Direct Energy may make changes to the Rewards from time to time with or without notice to you, including updating the Reduce Your Use with Google Nest thermostats program details on its website. Participation in the Reduce Your Use with Google Nest thermostats program requires that your Nest thermostat be enrolled with Google. You can enroll your thermostat and agree to Google's Terms & Conditions at https://support.google.com/googlenest/answer/13023994 . Failure to successfully install and enroll your thermostat with Google will prevent your participation in the Reduce Your Use with Google Nest thermostats program.

If you have opted to receive Reduce Your Use communications from Direct Energy, you are responsible for keeping your email address updated with Direct Energy. In the event that your email address has changed, is not functioning properly, or is no longer valid, you may not receive Reduce Your Use with Google Nest thermostats program communications from Direct Energy. To unsubscribe from the Reduce Your Use with Google Nest thermostats program communications from Direct Energy, please contact Direct Energy at 888-548-7540.

Direct Energy reserves the right to cancel or modify the Reduce Your Use with Google Nest thermostats program at any time. Enrollment on the program does not guarantee that you will receive any rewards. Restrictions and limitations may apply.

DIRECT ENERGY MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE NEST THERMOSTAT AND DIRECT ENERGY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE NEST THERMOSTAT AND SERVICES, INCLUDING MERCHANTABILITY, CONFORMITY TO MODELS OR SAMPLES AND FITNESS FOR A PARTICULAR PURPOSE.

You release and hold harmless Direct Energy from any liability, claim, demand, cause of action, damage or expense resulting from your participation in the Direct Energy Reduce Your Use with Google Nest thermostats program.

You acknowledge and agree that your receipt and use of the Nest thermostat and your participation in the Reduce Your Use with Google Nest thermostats program are subject to these Direct Energy Terms & Conditions. You may cancel your Reduce Your Use with Google Nest thermostats program enrollment at any time by calling Direct Energy at 888-548-7540.

By participating in the Reduce Your Use with Google Nest thermostats program, you agree that Direct Energy may share your enrollment and usage information with third parties providing services related to the Reduce Your Use with Google Nest thermostats Program, including Direct Energy's demand response management systems provider, Autogrid Systems, Inc. You agree that Direct Energy may suspend or terminate your participation in the program for any reason, including if you move from your residence.

Direct Energy Reduce Your Use Program Terms and Conditions

These terms and conditions (the "Terms and Conditions") apply to participants in the Direct Energy Reduce Your Use program (the "Reduce Your Use Program") and are between you and Direct Energy, LP("Direct Energy"). The Reduce Your Use Program encourages and enables you to make changes to your electricity usage when Texas electricity system demand is high to reduce the stress on the system.

Eligibility Requirements for the Reduce Your Use Program:

You must be a Direct Energy electricity account holder at the time of any Reduce Your Use Program event.
You must have an operable and eligible thermostat manufactured by Honeywell Home controlling an HVAC system at the account service address.
You must have an active electricity Smart Meter at the account service address.
The thermostat must be connected to an active Wi-Fi network at the account service address.
The thermostat must be installed and you must complete the online enrollment process for participation in the Reduce Your Use Program.
You agree to the Terms & Conditions set forth in this agreement.

Terms & Conditions for the Reduce Your Use Program:

As a participant in the Reduce Your Use Program, you acknowledge and agree that your use of the thermostat and your participation in the Reduce Your Use Program are subject to each of the following Terms & Conditions.

You agree to allow Direct Energy to coordinate with your thermostat manufacturer to remotely adjust your thermostat during your participation in the Reduce Your Use Program.
